Acceptance
These Terms of Use are an agreement between you and RedSmart Consultants LLC ("RedSmart," "we," "us") about your use of RedSmart Accounting at rsa.redsmart.org (the "app"). By creating an account, signing in or otherwise using the app, you agree to these terms and acknowledge our Privacy Policy. If you use the app on behalf of a business or other organization, you agree for that organization and confirm that you have authority to do so. If you do not agree, do not use the app.
The service and who may use it
RedSmart Accounting is software that helps organizations keep their books, invoice customers, record bills, expenses and payroll, track projects and time, and share invoices and documents with customers and vendors through a portal.
- You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract.
- You may use the app only with an account given to you by RedSmart or by an organization that has access, and only for that organization's legitimate business.
- The organization's administrators decide who has access and with which permissions, and may change or remove your access.
- Customers and vendors who use an organization's portal may use it only for their dealings with that organization.
Accounts and security
Give accurate information and keep it current. Keep your password and sign-in codes to yourself, use a strong password, and do not share your account; each person should have their own. You are responsible for what happens under your account. Tell us right away at support@redsmartcorp.com if you suspect unauthorized use.
Acceptable use
You agree not to:
- break the law or help someone else break it, or violate anyone's rights, including privacy and intellectual property rights;
- upload malware, or content that is fraudulent, harassing, threatening, hateful or sexually exploitative;
- enter personal information about other people without a lawful basis or the permission the law requires;
- try to get into accounts, data or parts of the app you are not allowed to reach, probe or test its security without our written permission, or get around the human check, rate limits or other protections;
- overload, disrupt or reverse-engineer the app (except where the law allows it), or use bots or scrapers to access it;
- resell, rent or provide the app to others as a service without our written permission.
Your content
Your content is the information, records and files you or your organization put into the app, including information about customers, vendors and employees. You (or the organization you work for) keep ownership of it. You give RedSmart a limited, non-exclusive, worldwide licence to host, store, copy, process, transmit and display that content only as needed to run, secure, support and improve the app for you and the people you choose to share it with, and as described in our Privacy Policy. This licence ends when the content is deleted from the app, except for copies kept for the periods described in the Privacy Policy or required by law. You are responsible for your content and for having the rights and permissions needed to put it in the app. The app itself, including its software, design and the RedSmart name and logos, belongs to RedSmart; these terms give you a right to use it, not ownership of it.

If you send us ideas or suggestions, we may use them without any obligation to you.
Not financial, tax or legal advice
The app is a record-keeping tool. Reports, payroll figures, tax-related fields and AI suggestions are aids, not financial, tax, accounting or legal advice. You and your organization are responsible for the accuracy of your books, for your tax filings, payroll and payments, and for checking results before relying on them. Consult a qualified professional for advice.
AI features
Document capture and the AI assistant can make mistakes. Review extracted fields and answers before you save or act on them.
Online payments and the portal
When an organization collects invoice payments online, Stripe processes them under Stripe's own terms, and the organization is responsible for its relationship with its customers, including refunds and disputes. An organization is responsible for what it shares through its portal and for having the right to send messages and invoices to its customers and vendors.
Fees
Access to the app for an organization is provided under a separate agreement or plan with RedSmart, which sets any fees, billing period and payment terms. We will not charge you for the app without first agreeing the price with you or your organization.
Third-party services
The app relies on services from other companies (for example hosting, email, and sign-in with Google or Apple), as described in our Privacy Policy. Your use of a third-party service, such as your Google or Apple account, is also governed by that company's own terms.
Availability and changes to the service
We work to keep the app available and reliable, but it may be interrupted for maintenance, updates or reasons outside our control. We may add, change or remove features. If we stop offering the app or a feature you rely on, we will try to give you reasonable notice and a chance to export your data where the app offers export.
Suspension and termination
You may stop using the app at any time. An administrator of your organization can remove your access, and you or your organization can ask us to close an account at support@redsmartcorp.com. We may suspend or end your access if you break these terms, if your use creates risk or legal exposure for others or for us, or if required by law. Where reasonable, we will tell you first and give you a chance to fix the problem. Sections that by their nature should survive (such as content ownership, disclaimers, limitation of liability and governing law) continue after termination.
Disclaimers
The app is provided "as is" and "as available." To the fullest extent the law allows, RedSmart disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the app will be uninterrupted, error-free or that it will meet every need. You are responsible for checking the results you rely on and for keeping your own copies of important information.
Limitation of liability
To the fullest extent the law allows, RedSmart Consultants LLC and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the app or these terms, even if we were told such damages were possible. Our total liability for any claim related to the app or these terms will not exceed the greater of the amount you paid RedSmart for the app in the 12 months before the claim or 100 U.S. dollars. Some places do not allow these limits, so they apply to you only as far as the law permits.
Governing law
These terms are governed by the laws of the state in which RedSmart Consultants LLC is organized, in the United States, and by applicable U.S. federal law, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts of that state, unless the law where you live gives you the right to bring a claim in your local courts. Before filing a claim, please contact us at support@redsmartcorp.com so we can try to resolve it informally.
Changes to these terms
We may update these terms. We will change the date at the top, and if a change is significant we will tell you in the app or by email before it takes effect. If you keep using the app after the change takes effect, you accept the updated terms; if you do not agree, stop using the app.
General
These terms, together with our Privacy Policy and any separate written agreement you have with RedSmart for this app, are the whole agreement between you and RedSmart about the app; if a separate signed agreement conflicts with these terms, the signed agreement controls. If a provision is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.

Aceptación

El servicio y quién puede usarlo

- Debe tener al menos 18 años (o la mayoría de edad donde vive) y capacidad para celebrar un contrato vinculante.
- Puede usar la aplicación solo con una cuenta que le dé RedSmart o una organización con acceso, y solo para los fines legítimos de negocio de esa organización.
- Los administradores de la organización deciden quién tiene acceso y con qué permisos, y pueden cambiar o retirar su acceso.
- Los clientes y proveedores que usan el portal de una organización pueden usarlo solo para sus tratos con esa organización.
Cuentas y seguridad
Proporcione información correcta y manténgala al día. No comparta su contraseña ni sus códigos de inicio de sesión, use una contraseña fuerte y no comparta su cuenta; cada persona debe tener la suya. Usted es responsable de lo que ocurra con su cuenta. Avísenos de inmediato a support@redsmartcorp.com si sospecha un uso no autorizado.
Uso aceptable
Usted se compromete a no:
- infringir la ley o ayudar a otros a infringirla, ni violar los derechos de nadie, incluidos los de privacidad y propiedad intelectual;
- subir software malicioso o contenido fraudulento, acosador, amenazante, de odio o de explotación sexual;
- ingresar información personal de otras personas sin una base legal o sin el permiso que exija la ley;
- intentar entrar a cuentas, datos o partes de la aplicación a las que no tiene acceso, sondear o probar su seguridad sin nuestro permiso por escrito, ni eludir la verificación humana, los límites de uso u otras protecciones;
- sobrecargar, interrumpir o aplicar ingeniería inversa a la aplicación (salvo donde la ley lo permita), ni usar bots o extractores automáticos para acceder a ella;
- revender, alquilar o prestar la aplicación a terceros como servicio sin nuestro permiso por escrito.
Su contenido
Su contenido es la información, los registros y los archivos que usted o su organización ponen en la aplicación, incluida la información sobre clientes, proveedores y empleados. Usted (o la organización para la que trabaja) conserva su titularidad. Usted otorga a RedSmart una licencia limitada, no exclusiva y mundial para alojar, guardar, copiar, procesar, transmitir y mostrar ese contenido solo en la medida necesaria para operar, proteger, dar soporte y mejorar la aplicación para usted y para las personas con quienes decida compartirlo, y según lo descrito en nuestra Política de privacidad. Esta licencia termina cuando el contenido se elimina de la aplicación, salvo las copias que se conservan por los plazos descritos en la Política de privacidad o que exige la ley. Usted es responsable de su contenido y de tener los derechos y permisos necesarios para ponerlo en la aplicación. La aplicación misma, incluidos su software, su diseño y el nombre y los logotipos de RedSmart, pertenece a RedSmart; estos términos le dan derecho a usarla, no la titularidad sobre ella.

No es asesoría financiera, fiscal ni legal
La aplicación es una herramienta de registro. Los reportes, las cifras de nómina, los campos relacionados con impuestos y las sugerencias de la IA son ayudas, no asesoría financiera, fiscal, contable ni legal. Usted y su organización son responsables de la exactitud de su contabilidad, de sus declaraciones de impuestos, su nómina y sus pagos, y de revisar los resultados antes de confiar en ellos. Consulte a un profesional calificado para recibir asesoría.
Funciones de IA
La captura de documentos y el asistente de IA pueden equivocarse. Revise los campos extraídos y las respuestas antes de guardarlos o actuar con base en ellos.
Pagos en línea y portal
Cuando una organización cobra facturas en línea, Stripe procesa los pagos conforme a sus propios términos, y la organización es responsable de su relación con sus clientes, incluidos los reembolsos y las disputas. Cada organización es responsable de lo que comparte por su portal y de tener derecho a enviar mensajes y facturas a sus clientes y proveedores.
Tarifas
El acceso de una organización a la aplicación se presta conforme a un acuerdo o plan aparte con RedSmart, que establece las tarifas, el periodo de facturación y las condiciones de pago. No le cobraremos por la aplicación sin antes acordar el precio con usted o con su organización.
Servicios de terceros
La aplicación usa servicios de otras empresas (por ejemplo, alojamiento, correo e inicio de sesión con Google o Apple), como se describe en nuestra Política de privacidad. Su uso de un servicio de terceros, como su cuenta de Google o de Apple, también se rige por los términos de esa empresa.
Disponibilidad y cambios del servicio
Trabajamos para que la aplicación esté disponible y sea confiable, pero puede interrumpirse por mantenimiento, actualizaciones o causas fuera de nuestro control. Podemos agregar, cambiar o quitar funciones. Si dejamos de ofrecer la aplicación o una función que usted usa, procuraremos avisarle con anticipación razonable y darle la oportunidad de exportar sus datos cuando la aplicación lo permita.
Suspensión y terminación
Puede dejar de usar la aplicación en cualquier momento. Un administrador de su organización puede retirarle el acceso, y usted o su organización pueden pedirnos cerrar una cuenta escribiendo a support@redsmartcorp.com. Podemos suspender o terminar su acceso si incumple estos términos, si su uso crea riesgos o exposición legal para otros o para nosotros, o si la ley lo exige. Cuando sea razonable, le avisaremos primero y le daremos la oportunidad de corregir el problema. Las secciones que por su naturaleza deben continuar (como la titularidad del contenido, las exclusiones de garantía, la limitación de responsabilidad y la ley aplicable) siguen vigentes después de la terminación.
Exclusión de garantías
La aplicación se ofrece "tal cual" y "según disponibilidad". En la máxima medida que permita la ley, RedSmart excluye toda garantía, expresa o implícita, incluidas las de comerciabilidad, idoneidad para un fin particular, exactitud y no infracción. No garantizamos que la aplicación funcione sin interrupciones ni errores, ni que cubra todas sus necesidades. Usted es responsable de revisar los resultados en los que confía y de conservar sus propias copias de la información importante.
Limitación de responsabilidad
En la máxima medida que permita la ley, RedSmart Consultants LLC y sus dueños, empleados y contratistas no serán responsables por daños indirectos, incidentales, especiales, consecuentes o punitivos, ni por pérdida de ganancias, ingresos, datos o reputación, que surjan de la aplicación o de estos términos o se relacionen con ellos, aunque se nos haya advertido de esa posibilidad. Nuestra responsabilidad total por cualquier reclamo relacionado con la aplicación o con estos términos no superará la cantidad mayor entre lo que usted pagó a RedSmart por la aplicación en los 12 meses anteriores al reclamo y 100 dólares estadounidenses. Ley aplicable
Estos términos se rigen por las leyes del estado en el que está constituida RedSmart Consultants LLC, en los Estados Unidos, y por la ley federal aplicable de los Estados Unidos, sin tener en cuenta las normas sobre conflictos de leyes. Las disputas se resolverán en los tribunales estatales o federales de ese estado, salvo que la ley del lugar donde usted vive le dé derecho a presentar el reclamo ante sus tribunales locales. Cambios a estos términos
Podemos actualizar estos términos. Cambiaremos la fecha de arriba y, si el cambio es importante, se lo diremos en la aplicación o por correo antes de que entre en vigor. Si sigue usando la aplicación después de que el cambio entre en vigor, acepta los términos actualizados; si no está de acuerdo, deje de usar la aplicación.
Disposiciones generales
Estos términos, junto con nuestra Política de privacidad y cualquier acuerdo escrito aparte que usted tenga con RedSmart para esta aplicación, son el acuerdo completo entre usted y RedSmart sobre la aplicación; si un acuerdo firmado aparte contradice estos términos, prevalece el acuerdo firmado. Si alguna disposición resulta inaplicable, el resto sigue vigente. Que no hagamos cumplir una disposición no significa que renunciemos a ella. Usted no puede ceder estos términos sin nuestro consentimiento; nosotros podemos cederlos como parte de una fusión, adquisición o venta de activos.
